These Terms and Conditions (“Terms”) govern the provision of services by Advantage Technical Services Ltd (“the Company”), a business specialising in the design, installation, commissioning, supply, and servicing of fire alarm systems (“Services”). By engaging with our Services, you (“the Client”) agree to comply with the following Terms.
1. Definitions
• Services: The fire alarm system supply, design, installation, commissioning, and servicing as described in any relevant proposal, quote, or agreement.
• Client: The party engaging the Company for the provision of Services.
• Agreement: A contract between the Company and the Client, incorporating these Terms and any written quotations or proposals.
2. Scope of Services
The Company offers the following Services:
• Fire Alarm System Design: Tailoring fire safety solutions based on the Client’s premises and legal requirements.
• Installation: Complete fire alarm system installation in compliance with relevant UK standards (BS 5839).
• Commissioning: Ensuring the system operates correctly and handing over to the Client with proper documentation.
• Servicing and Maintenance: Periodic inspection and repairs to ensure continued compliance and functionality.
All Services provided shall meet the required legal standards in the UK and are tailored to the needs of each Client, as outlined in any written proposal.
3. Quotations and Proposals
• All quotations are valid for 30 days unless otherwise specified.
• Quotations are subject to change if the scope of the project is modified or unforeseen circumstances arise.
• Acceptance of any quotation or proposal must be provided in writing by the Client.
4. Client Obligations
• The Client shall provide the Company with full and accurate information relating to the premises, including plans and any relevant documentation.
• Access to the site shall be granted at agreed times to allow the Company to carry out its work efficiently.
• The Client shall comply with any health and safety instructions or requirements imposed by the Company during the execution of the Services.
5. Pricing and Payment Terms
• All prices are quoted in GBP (£) and exclude VAT unless otherwise stated.
• Invoices will be raised according to the agreed payment schedule or on completion of the work. The Client agrees to make full payment within [30] days from the date of the invoice.
• Late payments may incur interest at a rate of [8%] above the Bank of England base rate in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
6. Cancellation and Rescheduling
• The Client may cancel or reschedule any Services by providing written notice at least [10] business days prior to the scheduled date.
• Cancellations made within less than [10] business days of the scheduled Service may incur a fee of [X%] of the quoted price to cover any costs already incurred by the Company.
7. Warranties
• The Company warrants that all goods supplied as part of the Services will be free from defects for a period of [12] months from the date of installation.
• The Client must notify the Company of any defects within this period to make a valid claim under this warranty.
• This warranty does not cover faults caused by misuse, neglect, or failure to maintain the system as per the manufacturer’s instructions.
8. Limitations of Liability
• The Company shall not be liable for any indirect, special, or consequential loss or damage arising out of or in connection with the Services.
• In any event, the Company’s total liability to the Client shall not exceed the total fees paid for the Services in question.
• Nothing in these Terms limits liability for death or personal injury caused by the Company’s negligence, fraud, or other liability which cannot be excluded under UK law.
9. Insurance
• The Company holds comprehensive public liability and professional indemnity insurance policies to cover any claims arising from the provision of Services.
• The Client is advised to check its own insurance policies to ensure sufficient cover is in place during installation and servicing.
10. Health and Safety
• The Company operates in accordance with UK health and safety regulations and will take all necessary precautions to protect employees, Clients, and the public during the execution of Services.
• The Client agrees to cooperate with the Company in ensuring safe working conditions on-site.
11. Force Majeure
The Company shall not be liable for any failure to perform its obligations where such failure is due to events beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, or extreme weather conditions.
12. Termination
• Either party may terminate the Agreement by providing written notice if the other party breaches any material term and fails to remedy such breach within [30] days.
• Upon termination, the Client will remain liable for any outstanding payments due for Services rendered up to the date of termination.
13. Dispute Resolution
• In the event of any disputes arising under these Terms, both parties agree to attempt resolution through negotiation in good faith.
• If a resolution cannot be achieved, either party may refer the matter to mediation in accordance with the rules of the Centre for Effective Dispute Resolution (CEDR).
• If mediation fails, the dispute may be submitted to the courts of England and Wales, which shall have exclusive jurisdiction.
14. Governing Law
These Terms and any Agreement shall be governed by and construed in accordance with the laws of England and Wales.
15. Miscellaneous
• No waiver by either party of any breach of these Terms shall be considered a waiver of any subsequent breach.
• If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
• The Client may not assign or transfer any of its rights or obligations under these Terms without the prior written consent of the Company.
